Terms of Service

The agreement that governs your use of RuleRun.

Last updated: September 15, 2026

Important: RuleRun automates checks against the policies you configure and supports human review. It does not provide legal advice and does not guarantee regulatory compliance. See section 6.

These Terms of Service (“Terms”) are a binding agreement between Yurii, a private entrepreneur (PE), registered at Vinnytsia, 21027, Ukraine (“RuleRun”, “we”), and the entity or person that accesses the service (“Customer”, “you”). By creating an account, using the API, or otherwise using the service, you agree to these Terms.

1. Definitions

  • “Service” means the RuleRun website, application, and API that render marketing emails and check them against configured policies to produce reports.
  • “Customer Content” means the emails, images, policies, and other material you submit to the Service.
  • “Report” means the compliance output the Service generates from Customer Content.
  • “Documentation” means the API and product documentation we make available.

2. The Service and licence to use it

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription.

We may update, improve, or change the Service. We will not materially reduce core functionality of a paid plan during a paid term without notice.

3. Accounts and eligibility

  • You must provide accurate account information and keep your credentials and API keys secure. You are responsible for all activity under your account and keys.
  • The Service is for business use by users aged 16 or over. You represent that you are authorised to bind the entity you act for.
  • You must notify us promptly of any unauthorised use of your account or API keys at support@rulerun.io.

4. Acceptable use and API restrictions

You agree not to, and not to permit any third party to:

  • reverse engineer, decompile, or attempt to derive the source code or underlying models of the Service, except to the extent this restriction is prohibited by law;
  • scrape, harvest, or bulk-extract data from the Service other than through the API as documented;
  • circumvent, disable, or exceed rate limits, quotas, or usage restrictions, or share API keys with unauthorised parties;
  • resell, sublicense, or provide the Service to third parties except as expressly permitted;
  • upload malware, or use the Service to infringe rights, break the law, or process content you have no right to submit;
  • use the Service to build a competing product, or benchmark it for a competitor.

5. Customer Content and licence to process it

As between the parties, you own your Customer Content. You grant us a limited, non-exclusive licence to host, process, and transmit Customer Content solely to provide the Service and generate Reports.

You are responsible for having all rights, permissions, and lawful bases needed to submit Customer Content, including any personal data it contains. Where Customer Content includes personal data, our Data Processing Agreement applies and forms part of these Terms.

We may generate aggregated, de-identified statistics about use of the Service; such data does not identify you or any individual and may be used to operate and improve the Service.

7. Fees, plans, trials, and renewals

  • Paid plans are billed in advance on the cycle shown at purchase (monthly or annually) and, unless stated otherwise, renew automatically for successive terms until cancelled.
  • Prices are exclusive of VAT and other applicable sales taxes. Tax is calculated and added at checkout based on your location by our payment provider (see “Payments, taxes, and Merchant of Record” below).
  • Free trials and free plans may be offered at our discretion and may change or end. Usage is subject to plan limits (such as run, rule-set, and API-key quotas), and access may be restricted once a limit is reached.
  • We may change pricing for future terms with reasonable notice; changes do not affect the current paid term.

8. Payments, taxes, and Merchant of Record

Payments for the Service are processed by Paddle.com (“Paddle”), which acts as the Merchant of Record (reseller) for your purchase. This means Paddle is the seller of record for the transaction: Paddle fulfils your order, issues your receipt or invoice, and calculates, collects, and remits VAT or sales tax as required by your jurisdiction.

Because Paddle is the Merchant of Record, your purchase is also subject to Paddle’s buyer terms and privacy policy. We do not receive or store your full payment-card details; Paddle handles your payment data as described in our Privacy Policy.

9. Upgrades, downgrades, cancellation, and refunds

  • Upgrades take effect immediately. The prorated difference for the remainder of the current billing period is charged at the time of the upgrade.
  • Downgrades and cancellations take effect at the end of the current billing period. You keep access to your current plan until then, and we do not provide pro-rata refunds for the unused part of a period already paid for.
  • You can change your plan or cancel at any time from the billing portal in your account; cancellation stops future renewals.
  • Except as set out above, fees are non-refundable unless required by law or where we terminate without cause. Where you are a consumer, any statutory right of withdrawal (such as the EU 14-day cooling-off period for digital services) applies; by asking us to begin providing the Service immediately you may lose that right once performance has begun. Any refunds required by law are processed through Paddle.
  • For billing or refund questions, contact us at support@rulerun.io.

10. Intellectual property

We and our licensors own all rights in the Service, Documentation, and everything except Customer Content and Reports. These Terms grant no rights except those expressly stated.

If you send us feedback or suggestions, you grant us a perpetual, royalty-free right to use them without restriction or obligation to you.

11. Third-party services

The Service relies on third-party providers (including for hosting, authentication, email delivery, payment processing, customer support, and AI processing). Your use may be subject to their terms, and we are not responsible for their acts or omissions beyond our obligations in these Terms and the DPA.

12. Warranties and disclaimers

We will provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided “as is” and “as available”, and we disclaim all other warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Service will be uninterrupted or error-free, or that Reports will detect every compliance issue.

13. Limitation of liability

To the fullest extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, or data.

Our total aggregate liability arising out of or relating to these Terms will not exceed the greater of (a) the fees you paid to us in the twelve months before the event giving rise to the claim, or (b) EUR 100.

Nothing in these Terms limits liability that cannot be limited under applicable law, such as for death or personal injury caused by negligence, fraud, or wilful misconduct.

14. Indemnification

You will defend and indemnify RuleRun against third-party claims and losses arising from your Customer Content, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

15. Term, suspension, and termination

  • These Terms apply while you use the Service. Either party may terminate a subscription at the end of the then-current term; you may stop using free plans at any time.
  • We may suspend or terminate access immediately for material breach, non-payment, or use that poses a security or legal risk.
  • On termination, your right to use the Service ends. Sections that by their nature should survive (including IP, disclaimers, liability, indemnity, and governing law) survive termination. Data handling on termination is governed by the DPA and our retention practices.

16. Changes to these Terms

We may update these Terms. For material changes we will provide reasonable notice (for example, by email or in-product). If you do not agree to the updated Terms, your remedy is to stop using the Service before they take effect; continued use constitutes acceptance.

17. Governing law and disputes

These Terms are governed by the laws of Ukraine, without regard to conflict-of-laws rules. The courts of Ukraine have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.

Nothing in this section removes any mandatory consumer or data-protection rights available to you under applicable law.

18. General

  • These Terms, together with the Privacy Policy and DPA, are the entire agreement between the parties and supersede prior agreements on this subject.
  • If any provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
  • You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Neither party is liable for delay or failure caused by events beyond its reasonable control.
